PETRO’S PAYLOAD PAYDAYS (THE “SWEEPSTAKES”)
OFFICIAL RULES AND REGULATIONS
This Sweepstakes is intended for viewing and participation in the 50 United States and Washington D.C. only and shall be construed and evaluated according to the laws of the United States. Please do not enter if you are not a legal resident of, and not located in, the 50 United States or Washington D.C. at time of entry. VOID WHERE PROHIBITED BY LAW.
NO PURCHASE NECESSARY. A PURCHASE WILL NOT INCREASE YOUR CHANCE OF WINNING.
1. SWEEPSTAKES PERIOD: Starting July 1, 2008 at 12:00:00 AM ET and ending December 31, 2008 at 11:59:59 AM ET (the "Sweepstakes Period").
2. HOW TO ENTER THE SWEEPSTAKES: You must obtain a Passport Card at any Petro Stopping Center Fuel Desk (Passport Cards are free), then become a Petro Passport Driver Rewards Club Member in order to enter the Sweepstakes. Petro Passport Driver Rewards Club registration and membership are also free. To apply for a membership, call the Petro Passport Driver Rewards Club Customer Service line at 1-800-632-9240, or apply at the Petro Passport Driver Rewards Club Kiosk at any Petro Stopping Center location, or on-line at www.petrotruckstops.com. You will need to provide your name, address, city, state, zip code, phone number, email address and birthday. Customers should register using the name that is printed on their driver’s license. Entry of intentionally fictitious or profane data in any of the required fields will result in termination of the account and forfeiture of all existing points, shower credits and any other benefits. Both Petro Passport and Petro Passport Platinum Members will receive ten (10) entries to the Sweepstakes after completing their Petro Passport Driver Rewards Club membership registrations. Limit of one (1) Petro Passport Driver Rewards Club Membership registration per person. If it is discovered that you have registered or attempted to register more than ONCE, all of your entries will be declared null and void, and any prize you might have been entitled to will not be awarded.
ADDITIONAL SWEEPSTAKES ENTRIES:
Petro Passport Driver Rewards Club members who have registered their Passport or Passport Platinum Card will automatically receive two (2)Sweepstakes entries by making a purchase at a participating Petro Iron Skillet Restaurant, Petro Lube Shop or Petro Travel Store, and (except as provided below) four (4) Sweepstakes entries by making a purchase of diesel fuel (not gasoline) at any Petro Stopping Center location; AND swiping their Passport Card at the time of that purchase during the Sweepstakes Period (a “Qualifying Purchase”). Please note that Sweepstakes entries will not be awarded for purchases where the Passport Card was not swiped. Petro Passport Driver Rewards Club members will not receive entries into the Sweepstakes with diesel fuel purchase at Petro Stopping Center locations in the states of Maryland, Virginia and New Jersey. For complete Petro Passport Driver Rewards Club membership rules, visit www.petrotruckstops.com. The individual whose name appears on the Petro Passport Driver Rewards Club account associated with the Passport Card that was swiped at the time of the Qualifying Purchase will be deemed the entrant. Limit of ten (10) entries per day per Petro Passport Driver Rewards Club member allowed throughout the Sweepstakes Period from all methods of entry combined. Purchases made but subsequently cancelled during the Sweepstakes Period shall not be considered Qualifying Purchases for the purposes of this Sweepstakes. Purchases made with Passport Cards which are stolen, fraudulent, tampered with, or otherwise altered are also excluded from being eligible for entry. Entrants may only receive automatic entry/entries for valid Qualifying Purchases that they personally make and pay for. See below for alternate free method of entry.
3. NO PURCHASE NECESSARY: To earn additional entries into the Sweepstakes without making a Qualifying Purchase, pick up and register a free Passport Card at any Petro Stopping Center location, then visit www.petrotruckstops.com, go to the Petro’s Payload Paydays Official Rules,click on the "Click Here" button, enter your 14-digit Passport Card number,and answer four quick questions about the quality of our service. There is alimit of ten (10) Sweepstakes entries allowed per person per day (considering all methods of entry combined) throughout the Sweepstakes Period. Upon answering the four questions, you will earn ten (10) Sweepstakes entries (or less, if you made any Qualifying Purchases earlier in the same day). If it is discovered that you have attempted to receive more than ten (10) entries per day (considering all methods of entry combined), all of your entries may be declared null and void, and any prize you might have been entitled to may not be awarded. Without limiting the foregoing, any requests for entries which are made in any fashion other than as specified herein are void.
4. ELIGIBILITY: To enter and be eligible to win, you must be a legal resident of the 50 United States or Washington, D.C., 18 years of age or older, AND be a Petro Passport Driver Rewards Club member. Persons in any of the following categories are NOT eligible to participate or win prizes: (a) any person who, at any time on or after July 1, 2008, was or is a director, officer, or employee of TA Operating LLC (the “Sweepstakes Sponsor”), Petro Stopping Centers, L.P. or their respective parents, subsidiaries, franchisees, or service agencies; (b)individuals engaged in the development, production or distribution of materials for the Sweepstakes or engaged in the administration or execution of this Sweepstakes (collectively the “Releasees”), and (c) persons who are or purport to be immediate family members of any person in any of the preceding categories, regardless of where they live, or who reside in the same household (i.e., live in the same household for at least 3 of the 12 months preceding the start of the Sweepstakes Period, whether related or not) as any person in any of the preceding categories.
5. RANDOM SWEEPSTAKES DRAWS: Every day during the Sweepstakes Period, a random computer-generated Sweepstakes drawing will be held at noon (ET) in Westlake, Ohio. In each Sweepstakes drawing, the Sweepstakes Sponsor will randomly select up to a total of seventy two (72)entries (see table below in Rule #6) from among all eligible entries received throughout the Sweepstakes Period up to the time of each applicable Sweepstakes drawing (the “Potential Winners”). Non-winning entries from one drawing will be rolled over into subsequent drawings. Each selected entry will be the Potential Winner of one (1) prize from the prize pool described in Rule #6 below. The prize to be won by each Potential Winner will be randomly assigned by a computer program at the time of the applicable drawing. The odds of winning a prize depend on the total number of eligible entries received.

Total ARV of all prizes available to be won: $207,635.80. ARV of prizes are
calculated based on retail prices at the outset of the Sweepstakes. Prices may vary during the course of the Sweepstakes. Sweepstakes Sponsor will not reimburse winners for any difference between the ARV as disclosed in these Official Rules and actual retail prices at the time of the awarding of the prizes.Winners acknowledge that neither the Sweepstakes Sponsor nor its Releasees nor their directors, employees, or agents, have made nor are in any manner responsible or liable for any warranty, representation, or guarantee, express or implied, in fact or in law, relative to any prize, including but not limited to its quality, mechanical condition or fitness for a particular purpose. Any and all warranties and/or guarantees on a prize (if any) are subject to the respective manufacturers’ terms therefore, and Winners agree to look solely to such manufacturers for any such warranty and/or guarantee.
HOW TO CLAIM YOUR PRIZE:
7. Potential Winners will be notified via email (using the email address provided during registration) at the completion of the applicable daily Sweepstakes drawing. It is your sole responsibility to ensure the email address is functional and is a valid email address, and to configure your spam filters as necessary to ensure prompt receipt of messages. (Additionally,you will be able to check if you are a Potential Winner by swiping your Passport Card at a Petro Passport Driver Rewards Club Kiosk.) Upon notification and satisfactory verification of Potential Winners eligibility under these Official Rules, prizes will be awarded at the Petro Passport Driver Rewards Club Kiosk by use of a prize redemption certificate or coupon. Prize redemption certificates or coupons are valid exclusively at participating Petro Travel Store locations, and cannot be used in conjunction with any other promotion. Potential Winners will be responsible for applicable sales tax.Potential Winners will be required to swipe their Passport Card at a Petro Passport Driver Rewards Club Kiosk (with no purchase necessary) in order to print the prize redemption certificate or coupon. All redemption certificates/coupons must be printed by January 31, 2009 or the prize will be automatically forfeited and go un-awarded. All redemption certificates/coupons will expire 30 days from the date they are printed at the Petro Passport Driver Rewards Club Kiosk. If a Potential Winner is found to be ineligible or declines to accept the prize, or if Sweepstakes Sponsor is unable to contact a Potential Winner by email within a reasonable period, the prize will be forfeited. Unclaimed prizes will not be awarded. No replacements will be issued for lost, damaged or expired redemption certificates or coupons.
8. By entering the Sweepstakes, Potential Winners grant the Sweepstakes Sponsor and the Releasees the right to the use of their names, addresses,voices, and statements relating to the Sweepstakes or Sweepstakes Sponsor,and photographs or other likenesses, without further compensation, notification or permission in any publicity or advertising carried out by Sweepstakes Sponsor or any related entities in any and all media now known or hereinafter developed without territorial or time limitation, except where prohibited by law.
9. Sweepstakes Sponsor and its Releasees shall not be held responsible for any delays in awarding prizes for any reason outside of their control. Prizes will only be awarded to verified winners.
10. Prizes are non-transferable, non-exchangeable, non-redeemable for cash, and must be accepted as awarded. No substitutions of any kind will be made on any prize, except at the sole discretion of the Sweepstakes Sponsor who reserves the right to substitute a prize of comparable or greater value. All taxes being assessed as a result of receiving any prizes will be the sole responsibility of the respective winner.
CONDITIONS OF ENTRY:
11. By entering, entrants (i) acknowledge compliance with these Official Rules including all eligibility requirements and, (ii) agree to be bound by the decisions of the Sweepstakes Sponsor and/or Sweepstakes Judges, made in their sole discretion, which shall be final and binding in all matters relating to this Sweepstakes. Entrants who have not complied with these Official Rules are subject to disqualification.
12. Sweepstakes Sponsor is not responsible for late, lost, damaged, stolen, fraudulent, misdirected, mutilated, garbled, illegible or incomplete submissions or for Kiosk prize notifications. Each participant shall take all necessary measures to avoid same and shall assume all consequences in this respect. All entries/submissions become the property of Sweepstakes Sponsor and in no case shall be returned to sender.
13. As a condition of entering, entrants (or their parent or legal guardian if an eligible minor) agree: (a) to release Sweepstakes Sponsor and Releasees, and each of their officers, directors, employees and agents, from any and all liability, loss or damage incurred with respect to participating in the Sweepstakes or the awarding, receipt, possession, and/or use or misuse of any prize or any travel related thereto, (b) that under no circumstances will Sweepstakes Sponsor or Releasees be liable for punitive, incidental or consequential damages; (c) all causes of action arising out of or connected with this Sweepstakes, or any prize awarded, shall be resolved individually, without resort to any form of class action; and (d) any and all claims,judgments, and awards shall be limited to actual out-of-pocket costs incurred,excluding attorneys’ fees and court costs.
14. In the event the Sweepstakes Judges’ analysis reveals valid prize claims are greater than the number of prizes available as set forth in these Official Rules,at any prize level, then Sweepstakes Sponsor reserves the right to conduct a random drawing amongst all eligible prize claimants whose claims have not yet been redeemed, to award the remaining number of advertised prizes in the prize category in question. Prizes will stop being awarded in the event Sweepstakes Sponsor becomes aware of an error respecting the number of prizes distributed via the Kiosk. In no event will the Sweepstakes Sponsor be liable for more than the number of prizes stated to be available in the prize category in question in these Official Rules.
15. Any Kiosk prize notifications obtained through unauthorized or illegitimate sources/channels, or which are not original, are illegible, have been tampered with, mutilated, altered, reproduced, stolen, forged, counterfeited, irregular, marked improperly; or which contain printing or production errors, or any errors in any way, will be void at the discretion of the Sweepstakes Sponsor and/or Promotion Judges.
DISCLOSURES
16. Sweepstakes Sponsor reserves the right in its sole discretion to cancel, modify or suspend this Sweepstakes at any time, if fraud, technical failures, including any network server or hardware failure, viruses, bugs, errors in programming, or any other errors or other causes corrupt the administration, security, integrity or proper play of the Sweepstakes or Kiosk prize notification.
17. Any attempt by an entrant or other individual, to deliberately damage or undermine the legitimate operation of this Sweepstakes, including but not limited to any fraudulent claims or tampering with any Kiosk or Kiosk prize notification, is a violation of criminal and civil laws. Should such an attempt be made, Sweepstakes Sponsor reserves the right to seek remedies and damages from any such individual, to the fullest extent permitted by law, including criminal prosecution. Participants engaging in any of the foregoing activities may be disqualified and will forfeit any prize(s) won.
18. In the event of any conflict with any Sweepstakes details contained in these Official Rules and Sweepstakes details contained in Sweepstakes Materials (including but not limited to point of sale, television, and print advertising,Sweepstakes packaging, and other Sweepstakes media), the details of the Sweepstakes as set forth in these Official Rules and the decisions of the Sweepstakes Sponsor shall prevail.
19. Sweepstakes Sponsor and its agents are not responsible for broadcasting, telephone system, interactive voice recording, electronic equipment, computer, software or other system errors, system failures or technical difficulties. Sweepstakes Sponsor reserves the right at its sole discretion, to disqualify any individual (and his/her Sweepstakes entry) who Sweepstakes Sponsor determines to be in violation of these Official Rules. Sweepstakes entries may be voided if the entry contains illegible, incorrect, or false information.
20. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of entrant and Sweepstakes Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the substantive laws of the State of Ohio without regard to Ohio conflicts of law principles. All entrants consent to the jurisdiction and venue of the federal, state and local courts for Westlake, Ohio.
21. The invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. In particular, Sweepstakes Sponsor’s employees are not authorized to waive, modify or amend any provision or provisions of these Official Rules in any manner whatsoever.
22. This Sweepstakes is solely sponsored by TA Operating LLC, 24601 Center Ridge Road, Westlake, OH 44145-5639.
23. The information we gather from you for participating in this Sweepstakes will be used solely for the purposes of administering this Sweepstakes, and will not be used for future marketing campaigns not related to this Sweepstakes unless you consented to such use when you registered for Petro Passport Driver Rewards Club membership. Information collected will not be sold to any other organization. By entering into this Sweepstakes you agree to the collection, use and disclosure of your information in accordance with these Official Rules.
24.
